Terms of Service

Harrison Interactive LLC Last updated: October 25, 2026

These Terms of Service ("Terms") are the agreement between you and Harrison Interactive LLC ("Harrison Interactive," "we") for H.E.L.E.N.A. OS ("Helena") — the standalone local AI we sell and give away from HarrisonInteractive.dev — and for the account, billing, and hosted services behind it. The End User License Agreement (the "EULA") covers the software itself: what you may do with it, and what you may not. Together, these Terms and the EULA are the whole agreement for Helena.

We wrote these Terms in plain words on purpose. Read them. They are short because the deal is simple: knowledge is free, compute is what costs, your work is yours, and our model and library are ours, licensed to you — never sold, and never yours to pass on.

1. Accepting these Terms

1.1 You accept these Terms when you create an account on HarrisonInteractive.dev, when you buy or claim a tier, and when you install Helena and accept the EULA in the installer. If you do not agree, do not install or use Helena.

1.2 If you use Helena for a company, school, or other organization, you confirm you have the authority to accept these Terms for it.

2. Your account

2.1 Eligibility. You must be at least 13 years old to hold an account. Accounts, billing, and purchases are adult-mediated by design: we do not knowingly serve accounts to children under 13. A learner younger than 13 may use Helena only under the supervision of an account holder — a parent or guardian, or a teacher or school using its own account — who directs and is present for that use. The account holder is responsible for a supervised learner's use exactly as for their own (Section 2.2), and all purchases and billing are made by the account holder alone.

2.2 One account, your responsibility. Your account is yours. Keep your sign-in credentials to yourself. What happens under your account — tier purchases, machine bindings, revalidation — is your responsibility.

2.3 Machine bindings live in your account. Helena's entitlement is bound to one active machine at a time (see the EULA, Section 7). You manage that binding in your account on our website: if you move to a new machine, you remove the old binding there and activate the new one. There is no way to change your tier, your binding, or your entitlement from inside the software — the signed token in your account is the only authority, by design, so nothing on your machine can be edited to fake it.

3. The tiers

Helena has four tiers. Every tier runs on your own machine. The difference between tiers is what Helena may do and at what scale — never whether she may answer you. Teaching and answering are on at every tier, including free Lite, and including when an install has locked down to Lite.

3.1 Lite — free, forever. Chat, the Mentor, and guided learning. Helena answers and teaches from her library on your machine, for as many asks as you like — there is no limit on the number of questions. Lite does not include Helena's hands: she will teach you how to do a thing, step by step, rather than doing it for you.

3.2 Elite — $79, one time. Everything in Lite, plus Helena's hands: she does the work with you on your own machine — building, editing, document work, and the rest of her local capabilities. Elite is a one-time purchase, not a subscription. Elite runs entirely locally; it includes no hosted services.

3.3 Ultimate — $29 per month. Everything in Elite, plus our hosted compute: when you choose Compute instead of Local, your asks run through the Harrison Interactive compute service — hardware we own and operate — with the full library hosted behind them. Ultimate is a subscription, billed monthly until you cancel. The hosted service is not live yet; hosted benefits under Sections 3.3 and 3.4 apply while the hosted service is live, and Section 6.3 says how we will tell you plainly when it is.

3.4 Extreme — $59 per month; Kickstarter backers $49 per month, locked for life. Everything in Ultimate, plus the widest reach: the complete library stands behind every answer, always, and the hosted service can draw on the wider web as a source pool under the same verification rules as the local library. If you backed us on Kickstarter at the Extreme level, your price is $49 per month and stays $49 for as long as you keep the subscription — locked for life, not an introductory rate.

3.5 What tiers never gate. No tier gates knowledge, teaching, or safety. The content rules in Section 7 apply identically at every tier. A lower tier means less doing and less scale — it never means Helena refuses to explain something she knows.

3.6 Prices. Prices are in U.S. dollars. We may change prices for new purchases and for future subscription periods; a price you are already paying on a subscription will not change mid-period, and a price locked for life under Section 3.4 or Section 4 will never change.

4. Founding Seats

4.1 The offer. The Founding Seat is a limited offering (no more than twenty seats), sold for $5,000, including through our Kickstarter campaign. A Founding Seat is a license package. It is not a share, not equity, not an investment, and it carries no ownership interest in Harrison Interactive LLC and no governance rights.

4.2 What a Founding Seat includes. (a) Extreme for the holder, for life, with no monthly charge; (b) five giftable lifetime Extreme seats (see 4.3); (c) every future tier and every add-on library volume, included, for life; (d) early access to new releases; (e) founder recognition — a numbered seat, a physical founder card, and a place in the credits and on the founder wall; (f) access to the founders channel and a quarterly briefing; (g) a voice in roadmap polls (weighted, and advisory — input, never governance); and (h) priority in the support queue.

4.3 Giftable seats. Each giftable seat is a lifetime Extreme license for one person. A giftable seat may be transferred once, to the person you give it to; after that transfer it is theirs and cannot be re-gifted or resold.

4.4 What "lifetime" means. Lifetime means the life of the service while it is ours to run. If Harrison Interactive ever ends the service, Section 11.4 says what happens. Lifetime hosted benefits are provided while the hosted service is operating.

4.5 The compute clause — read this one. The seat is for life, the library is for life, and hosted compute is for life. Hosted compute is governed by time and fairness, never by a meter running against your wallet. The standard band: ordinary asks are unlimited, in reason, at every hosted tier. Heavy hosted jobs are banded by tier — Ultimate includes 100 heavy jobs a month; Extreme — and a Founding Seat, which holds Extreme — includes 400. If you cross your band, you are never cut off and never billed for the overage: extra heavy work joins the back of the queue, or you can spend marketplace credits to move it up. Nobody's Helena ever hits a wall. These numbers are the operative statement of the band, and they live in this section. If we ever change them, we will publish the change at least 30 days before it takes effect, and no change ever applies retroactively.

4.6 Seat mechanics. Founding Seats and giftable seats are registered to an account in our system. To give a giftable seat, you tell us the recipient's account (through your account page, or by contacting us); the transfer is complete when we record the recipient in our system, and we will confirm it to both accounts. A seat that has been transferred once cannot be transferred again. The seat cap is a hard cap: we will not sell more than twenty Founding Seats. We will ship the physical founder card after the campaign or purchase that sold the seat is fulfilled. If a campaign that sold Founding Seats is restructured before fulfillment, every seat sold is either honored exactly as sold or refunded in full.

5. Billing, cancellation, refunds

5.1 Payment processing. Payments are processed by Stripe. We never see or store your card details. By paying, you also agree to Stripe's terms for the payment itself.

5.2 One-time purchases. Elite and the Founding Seat are one-time charges. Elite's entitlement does not expire.

5.3 Subscriptions. Ultimate and Extreme bill monthly in advance until cancelled. You can cancel at any time from your account; cancellation takes effect at the end of the current billing period, and you keep the tier until then.

5.4 Failed payments. If a subscription payment fails, you get a grace period — one failed charge never downgrades you instantly. If the payment is still not made when the grace period ends, the subscription lapses: your entitlement steps down to Lite, and re-subscribing restores your tier. Nothing you built is affected (Section 8).

5.5 Refunds. If Helena doesn't work for you, contact us within 14 days and we will make it right — refund or fix, your call. The choice is yours, not ours. The 14 days runs from: the purchase, for a one-time purchase (Elite); the start of the first billing period only, for a subscription (Ultimate or Extreme) — later billing periods are not refundable, but cancelling stops future charges (Section 5.3); the delivery of the license, for a Kickstarter reward — the pledge itself remains governed by Kickstarter's rules (Section 5.6); and the delivery of the seat, for a Founding Seat. Chargebacks and disputes are handled through Stripe's systems.

5.6 Kickstarter pledges. Kickstarter rewards are also governed by Kickstarter's own terms for the pledge itself. The tier terms in these Terms govern the license you receive.

6. Hosted services (Ultimate and Extreme)

6.1 Our hardware, not a rented cloud. The hosted compute service runs on servers Harrison Interactive owns and operates. Your asks are never sent to a third-party AI provider.

6.2 What crosses, and what never does. When you choose Compute, the only thing that crosses to our server is the need and the reason your ask requires — the question Helena needs help answering at hosted scale. Your files, your projects, your profile, and your library layers never cross. Work done on the hosted service is not kept: there is zero training on your asks and zero retention of them. The connection exists only while you are using Compute, and only because you chose it — Helena never opens it on her own, never automatically, and never in secret.

6.3 Availability, stated honestly. Hosted benefits apply while the hosted service is live; we will tell you plainly, on the product page and in your account, when it is live and if it is ever down. The hosted service is provided "as available" (see Section 10): we do not promise a specific uptime, and a hosted outage never affects your local Helena, which keeps working on your machine regardless.

6.4 Retiring a hosted feature. If we ever retire a hosted feature, or the hosted service itself, we will give affected account holders at least 90 days' notice before it ends, by email and by account notice. Retiring a hosted feature never affects your local Helena. If we restructure our tiers, a price locked under Section 3.4 or Section 4 carries to the successor tier that includes what your tier included — or better — at your locked price.

7. Acceptable use and Helena's content rules

7.1 Your obligations. You agree not to use Helena: (a) to create illegal content or to facilitate wrongdoing; (b) to harass, threaten, or harm others; (c) to violate anyone else's rights, including intellectual property rights; (d) to circumvent tier limits, licensing, or the sealed container, or to share your sign-in credentials or entitlement token; or (e) to disrupt or overload the hosted service.

7.2 What Helena will not produce. Helena refuses illegal content outright — at every tier, with no exceptions and no overrides. Explicit material is filtered from what she produces. When anatomy or the body is the legitimate subject — health, teaching, the nursing shelf — Helena uses correct clinical terms, never slang or vulgarity: proper words keep legitimate content teachable without making it explicit. These rules govern what Helena produces. They are enforced by design, in the product itself — not by watching you.

7.3 Your content is your responsibility. Helena's filters govern her output. They are not a review of, a claim over, or an answer for the content you own, hold, or create. Your information is yours, and so is responsibility for it.

7.4 Your indemnity. You agree to indemnify, defend, and hold harmless Harrison Interactive LLC and its members, officers, and employees from and against third-party claims, damages, liabilities, and reasonable attorneys' fees arising out of: (a) your use of Helena in violation of these Terms or the EULA; (b) content you create, publish, or distribute using Helena; or (c) your violation of any law or of another person's rights. This does not apply to the extent a claim arises from our own breach of these Terms or from a defect in Helena herself.

7.5 Export and sanctions. Helena is subject to United States export-control and sanctions laws. You may not download, install, use, or give anyone access to Helena: (a) in or from a country or territory subject to U.S. sanctions or embargo; or (b) if you are on a U.S. restricted-party list, including the Treasury Department's Specially Designated Nationals list or the Commerce Department's Denied Persons List or Entity List. By using Helena, you represent that neither applies to you.

8. Your work is yours

8.1 Ownership. Everything you build, write, code, design, or create using Helena — games, documents, images, projects, files of any kind — belongs 100% to you. Harrison Interactive claims no ownership interest in your creations and takes zero royalties from their sale, licensing, or distribution. Forever.

8.2 Termination does not touch this. If your license or account ends for any reason, what you created stays yours.

9. Our privacy commitment

This section is a commitment, not a description of data practices we might change quietly. It is also a term of this agreement.

9.1 No information is taken. Helena's local software has no internet access at all. There is no telemetry, no analytics, no usage reporting, and no silent update check in the local product. We do not receive your prompts, your files, your documents, or your work.

9.2 Exactly two lines out, both yours to open. (a) Verification: your entitlement is revalidated through your own action on our website (see the EULA, Section 7). The exchange is hash-signed, carries verification data only, and contains nothing of yours beyond the entitlement itself. (b) Hosted compute: Section 6.2. Nothing else leaves your machine. Updates reach Helena only when you download them yourself from us (see the EULA, Section 11).

9.3 What stays home stays home. Your optional personal profile ("My Info") is stored only on your machine, is used only for tasks you ask for, and is never transmitted. Signing out scrubs the install back to its fresh state — your profile and person layer are removed with it; your own files and builds, wherever you keep them, are untouched.

9.4 Account data. The only personal data we hold is what your account and billing require — held by us and by Stripe for payment processing — and we do not sell personal data.

10. What Helena is not; warranty and liability

10.1 Not professional advice. Helena provides general information and explanations. She is not a lawyer, an accountant, a tax advisor, or a medical professional, and nothing she produces is professional advice or creates a professional-client relationship. Verify anything consequential — money, legal obligations, deadlines, health — against the original source or a licensed professional.

10.2 As is. Helena and the hosted service are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement — to the maximum extent permitted by law. AI outputs can be wrong or incomplete; the EULA, Section 13 states the full disclaimer, and it applies here too.

10.3 Liability limit. To the maximum extent permitted by law, Harrison Interactive LLC is not liable for indirect, incidental, consequential, special, or punitive damages — including lost work, lost profits, or lost data — arising from your use of Helena or the hosted service. Our total liability for any claim is capped at the amounts you paid us in the twelve months before the claim arose (or $50 if you paid nothing). Nothing in these Terms limits liability that cannot lawfully be limited.

11. Suspension and termination

11.1 By you. You may stop using Helena at any time, cancel any subscription under Section 5.3, and close your account by contacting us.

11.2 By us. We may suspend or terminate your license and account if you materially breach these Terms or the EULA — for example, redistributing the model or library, circumventing licensing, using Helena for illegal content, or non-payment. Where a breach can be cured, we will give you notice and a reasonable chance (normally 30 days) to cure it first. Breaches that cannot be cured — redistribution and circumvention are the examples — may be terminated immediately.

11.3 What happens on termination. Your right to use the paid tiers and the hosted service ends. Section 8 (your work is yours) and Section 10.3 survive. The EULA, Section 15 states the full effect of termination on the software license itself.

11.4 If the service ever ends. If Harrison Interactive permanently discontinues Helena's hosted service, we will give as much advance notice as we reasonably can, and local licenses already paid for one-time (Elite) will continue to work locally for as long as the software runs on your machine.

12. Changes to these Terms

We may update these Terms. Material changes will be posted on this page with a new "Last updated" date, and we will notify account holders by email or account notice before material changes take effect. Changes apply going forward, never retroactively. If you keep using Helena after a change takes effect, you accept the new Terms; if you do not agree, you may cancel under Section 5.3 or close your account under Section 11.1.

13. Governing law and disputes

13.1 Governing law. These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law principles.

13.2 Talk first. Before filing anything, you and we agree to try to resolve the dispute informally: the side raising it sends a written description to the contact in Section 14, and both sides get 30 days to work it out.

13.3 Binding arbitration; class-action waiver. If informal resolution fails, any dispute arising under these Terms or the EULA will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, seated in Michigan, before one arbitrator. You and we each waive any right to a jury trial, and any right to bring or join a class, collective, representative, or consolidated action — disputes are heard only on an individual basis. Either side may instead bring an individual claim in small-claims court in Michigan. Nothing in this section prevents either side from asking a court for temporary or injunctive relief, including to stop redistribution or circumvention of the software.

13.4 Opting out; the court fallback. You may opt out of Section 13.3 by writing to the contact in Section 14 within 30 days of first accepting these Terms and saying so. If you opt out — or if Section 13.3 is ever held unenforceable — disputes will be resolved in the state or federal courts located in Michigan, and you and we consent to those courts' jurisdiction.

13.5 Severability. If any part of these Terms is held unenforceable, the rest remains in effect.

14. Contact

Questions about these Terms: [email protected] — a human reads it.

15. Support

15.1 How support works. Support is by email and account message (Section 14). We do not offer a service-level agreement: there are no guaranteed response times, and no uptime guarantee for the hosted service (Section 6.3). As our practice — a description of how we work, not a contractual commitment — we aim to answer support requests within two business days.

15.2 Founders' queue priority, defined. The Founding Seat's queue priority (Section 4.2(h)) means exactly this: support requests from Founding Seat holders are taken ahead of the general queue, in the order received. It is a place in line, not a separate service level.

End of Terms of Service — October 25, 2026.

These terms are written in plain language so you can actually understand them. They are not a substitute for legal advice.
