EULA & the Lena Model License

This End User License Agreement (this "Agreement") is a legal agreement between you ("you" or the "Licensee") and Harrison Interactive LLC ("Harrison Interactive," "we," or "us") for the Helena software. By downloading, installing, copying, or using Helena, you agree to this Agreement. If you do not agree, do not download, install, or use Helena, and delete any copies in your possession.

1. The software

"Helena" (H.E.L.E.N.A. — Highly Evolved Local Entity for Natural Assistance) is a local AI creation and assistance application published by Harrison Interactive. Helena includes the standalone Windows application, the host and companion programs, the web-based user interface, and — where provided — the plugin for Unreal Engine, together with their updates, documentation, and bundled content (together, the "Software"). Helena is designed to run on your own computer.

2. License grant

Subject to this Agreement, Harrison Interactive grants you a non-exclusive, non-transferable license to install and use the Software on computers that you own or control, for your own projects and work, in accordance with the tier of the Software you hold (Section 4). You may make backup copies of your installation for your own archival purposes. All rights not expressly granted are reserved.

3. Ownership

The Software is the property of Harrison Interactive LLC and its licensors and is protected by copyright, trademark, trade secret, and other laws. The Software is licensed, not sold. This Agreement transfers no ownership of the Software to you.

4. Tiers

Helena is offered in tiers. Your tier determines which features and services are enabled; the price and the exact feature list for a tier are those presented where you obtained Helena, and are not changed by this Agreement.

• Lite. The free tier. Lite includes Helena's teaching, mentoring,

and knowledge features.

• Elite. A paid tier, purchased for a one-time charge, which enables

additional local capabilities.

• Ultimate. A subscription tier which, while the subscription is

active, enables additional capabilities including hosted compute services (Section 9).

• Extreme. A subscription tier which, while the subscription is

active, enables everything in Ultimate at the widest hosted scale.

Two commitments apply at every tier. Knowledge and safety functionality is included at every tier and is never separately paywalled. And computation that runs locally, on your own hardware, is never metered by us; metering, where a plan provides for it, applies only to hosted compute time.

5. Accounts

Some features require a Harrison Interactive account. If you create an account, you agree to provide accurate information, to keep your credentials secure, and that you are responsible for activity under your account. License validation exchanges only the information needed to verify your entitlement and device.

6. Acceptable use

You agree to use the Software lawfully. In particular, you agree not to use the Software to:

• infringe the intellectual-property, privacy, or other rights of any

person;

• create, store, or distribute malware or content that is unlawful;
• harass, defame, or harm any person, or facilitate wrongdoing; or
• interfere with the security or operation of the Software or of any

service it connects to.

7. Restrictions

You may not, and you may not permit or help anyone else to:

• redistribute, rent, lease, lend, or resell the Software as a standalone

product or service;

• bypass, disable, or circumvent license, entitlement, or account checks

in the Software;

• remove, alter, or obscure any copyright, trademark, or license notice

in or on the Software; or

• reverse engineer, decompile, or disassemble the Software, except to the

extent that applicable law grants you a right to do so that cannot be waived.

8. Your content and your creations

Your files, projects, prompts, and data are yours. Everything you create with Helena — projects, builds, scenes, assets, documents, text, code, and every other output or work product — is your sole property. Harrison Interactive claims no ownership of your content or creations, and acquires no rights in them except the limited rights strictly needed to operate a feature you choose to use (for example, to carry out a hosted-compute request you send, under Section 9).

9. Privacy and data practices

Helena is local-first, and these practices are terms of this Agreement, not marketing statements:

• Local by default. Helena's core functions run on your computer.

Your files and conversations are processed locally and are not sent to us by those functions.

• No training on your data. Ever. We do not use your content, your

creations, or your usage of Helena to train models — ours or anyone else's.

• Hosted compute is zero-retention. If your tier includes hosted

compute and you choose to use it, the material you send is processed only to carry out your request. It is not retained after the request completes, and it is never used for training.

• Diagnostics are yours to send. Diagnostic information leaves your

computer only when you export it and choose to send it.

Our Privacy Policy, published on our website, describes account and website data practices and is part of the terms that govern your use.

10. Third-party components and the Lena Model

The Software includes or works with third-party components, which remain under their own licenses:

• Unreal Engine. Where Helena is used as an Unreal Engine plugin,

your use of Unreal Engine is governed by Epic Games' own license terms; this Agreement grants no rights in Unreal Engine.

• Open-source components. Components provided under open-source

licenses are licensed to you under those licenses, and their notices are provided with the Software or through the distribution channel's third-party notices.

• Third-party models in some releases. Some releases include a

third-party AI model as a component. Such a model is licensed under its own license (for the Qwen3 component in the 1.x standalone releases, the Apache License 2.0), which governs that component.

• The Lena Model and Knowledge Library. Releases that include

Harrison Interactive's own Lena model and knowledge library are additionally governed by the Lena Model License, Version 1.0, which is incorporated into this Agreement by reference for those releases. Its full text accompanies the standalone distribution and is published at harrisoninteractive.dev/legal.

11. Updates

We may provide updates to the Software. Updates may add, change, or remove features; material changes to this Agreement will be published as a new version of this Agreement with a new date, and will apply to the releases that carry them.

12. AI outputs and accuracy

Helena's answers, explanations, and generated content are produced with the help of AI systems and deterministic tools, and they can be wrong. You are responsible for reviewing outputs before relying on them, and for everything you build or decide with them. Helena is a creative and educational tool; nothing it produces is legal, medical, financial, or other professional advice.

13. Warranty disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. Nothing in this Section limits rights that applicable law does not allow you to waive.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HARRISON INTERACTIVE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM THE SOFTWARE OR THIS AGREEMENT. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS YOU PAID TO HARRISON INTERACTIVE FOR HELENA IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE — OR, IF YOU PAID NOTHING (INCLUDING UNDER THE FREE LITE TIER), FIFTY U.S. DOLLARS (USD $50). Nothing in this Section excludes liability that applicable law does not allow to be excluded.

15. Termination

This Agreement is effective until terminated. It terminates automatically if you materially breach it. Harrison Interactive may also suspend access to hosted services for abuse of those services. On termination you must stop using the Software and delete your copies of it. Termination does not affect your ownership of your creations under Section 8. Sections 3, 8, 9, 13, 14, and 16 survive termination.

16. General terms

• Governing law. This Agreement is governed by the laws of the State

of Michigan, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Michigan are the venue for disputes arising from this Agreement, unless applicable law gives you the right to bring a claim elsewhere.

• Entire agreement. This Agreement, together with the Lena Model

License where it applies and the Privacy Policy, is the entire agreement between you and Harrison Interactive about the Software, and replaces any earlier understandings about it.

• Severability. If any term of this Agreement is held unenforceable,

the remaining terms continue in full effect, and the unenforceable term is to be read as narrowly as needed to make it enforceable.

• No waiver. Our failure to enforce a term is not a waiver of it.
• Assignment. You may not assign this Agreement without our written

consent. Harrison Interactive may assign this Agreement in connection with a sale or reorganization of its business.

• Notices. Notices under this Agreement may be given through the

Software, on our website, or by email to the address associated with your account.

• Export. You agree to comply with applicable export-control laws in

your use of the Software.

• U.S. Government users. The Software is commercial computer software;

if you are a U.S. Government end user, your rights are limited to those granted to all other end users under this Agreement.

This Lena Model License (this "License") is a legal agreement between you (the "Licensee") and Harrison Interactive LLC ("Harrison Interactive," "we," or "us") for the Lena model and the Helena knowledge library. By installing, copying, or using any part of the Materials defined below — including by using a release of Helena that contains them — you agree to this License. If you do not agree, do not use the Materials.

1. What this License covers

The Lena Model. "Lena" is Harrison Interactive's own AI model. The "Lena Model" means Lena's trained model weights and parameters, in every format and precision in which we ship them, together with the tokenizer, vocabulary, and configuration files that accompany those weights.

The Knowledge Library. The "Knowledge Library" (also called the "KB" or "lena-lib") means the knowledge base that ships with Helena: its library entries and texts, structured data files, indexes, drawers, and runtime data, in every form in which we ship them.

The Materials. The Lena Model and the Knowledge Library together are the "Materials."

Helena. "Helena" (H.E.L.E.N.A.) means Harrison Interactive's software product, in every edition, tier, channel, and form — including the standalone application and the Unreal Engine plugin — through which the Materials are provided to you.

2. Ownership — licensed, not sold

The Materials are the property of Harrison Interactive LLC and its licensors, and are protected by copyright, trademark, trade secret, and other laws. The Materials are licensed, not sold. You receive only the rights expressly granted in Section 3. Every other right is reserved by Harrison Interactive.

LENA, HELENA, H.E.L.E.N.A., and HARRISON INTERACTIVE are trademarks of Harrison Interactive LLC. This License grants no rights in those marks except the right to refer to the products by name, truthfully, in the ordinary course of using them.

3. What you may do

Subject to this License and to the Helena End User License Agreement, Harrison Interactive grants you a non-exclusive, non-transferable, revocable-as-provided-in-Section-8 license to:

• Use the Materials inside Helena. Run, execute, and use the Materials

solely as an integrated part of Helena, in the form in which Helena provides them, on any tier of Helena — including the free Lite tier.

• Use them on your own machines. Install and use Helena and the

Materials on computers that you own or control.

• Use them without metering. Your local use of the Materials is

unlimited. We do not meter, throttle, or charge for computation that runs on your own hardware.

• Keep your installation's copies. Retain the copies of the Materials

that are part of your Helena installation, and make backup copies of that installation for your own archival purposes.

4. Your creations are yours

Everything you make with Helena is yours. Projects, builds, scenes, assets, documents, text, code, and every other output or work product you create using Helena — including works created with the help of the Materials — are your sole property. Harrison Interactive claims no ownership of your creations, and this License grants us no license in them.

Your own files, data, and inputs remain yours as well. Nothing in this License gives Harrison Interactive any right in your content beyond what the Helena End User License Agreement describes for operating a feature you choose to use.

5. What you may not do

You may not, and you may not permit or help anyone else to:

• Redistribute the Materials on their own. Extract, copy out, post,

share, sell, bundle, or otherwise distribute the Lena Model weights or the Knowledge Library — in whole, in part, in original or converted form — separately from a genuine, licensed installation of Helena.

• Offer the Materials as a service. Make the Materials, or their

functionality, available to third parties as a standalone service, API, or hosted offering, other than through Helena's own features as we provide them.

• Build a competing product from them. Use the Materials — including

their outputs, where the output is the Materials' own data reproduced — to develop, train, fine-tune, or improve any model, library, or product that competes with Helena or Lena.

• Pass them off as your own. Claim authorship or ownership of the

Materials, or remove, alter, or obscure any copyright, trademark, or license notice that accompanies them.

• Use our names for derivatives. Use the names LENA, HELENA,

H.E.L.E.N.A., or HARRISON INTERACTIVE, or any confusingly similar name, in connection with any derivative work, distribution, or product, or in any way that suggests our endorsement.

• Defeat the packaging. Circumvent, disable, or interfere with the

sealing, entitlement, or other technical measures that control access to or use of the Materials, except where a law gives you a right that cannot be waived.

6. Acceptable use

Your use of the Materials must comply with applicable law and with the acceptable-use terms of the Helena End User License Agreement, which are incorporated into this License by reference. The Materials are provided as part of Helena, and Helena's own rules for lawful, non-infringing use apply to everything you do with them.

7. Updates and new versions

We may release new versions of the Lena Model and of the Knowledge Library. Each version is licensed under the version of this License that accompanies it. We may publish revised versions of this License for future releases; a revised version applies only to releases that carry it, and we will identify the version and its date in the text itself.

8. Termination

This License is effective until terminated. It terminates automatically, without notice, if you breach any of its terms. On termination you must stop using the Materials and delete every copy of them in your possession or control. Termination does not affect Section 4: your creations remain yours. Sections 2, 4, 5, 9, and this Section 8 survive termination.

9. No warranty; limit of liability

The Materials are provided "AS IS," without warranties of any kind, as further described in the Helena End User License Agreement. To the maximum extent permitted by law, Harrison Interactive's liability arising from the Materials is limited as set out in that agreement.

10. Relationship to the Helena EULA

This License supplements the Helena End User License Agreement, and the two are to be read together. If a term of the Helena End User License Agreement conflicts with a term of this License about the Materials, this License controls for the Materials.
